The agreement between you and AdoptAI.

These Terms of Use ("Terms") govern your use of adoptai.co, app.adoptai.co and related services (the "Service"), operated by TeamForm Pty Ltd ("AdoptAI", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

• You must be at least 16 years old and able to form a binding contract.
• You are responsible for keeping your account credentials secure and for activity on your account.
• You must provide accurate information when signing up and keep it up to date.
• If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

2. The Service

AdoptAI helps businesses identify AI use cases, set up workflows and adopt AI through a structured program. The Service includes content, prompts, recommendations and connections to third-party AI providers.

We may add, change, suspend or remove features at any time. We will give reasonable notice for material changes that adversely affect paid customers.

3. AI-generated content

The Service uses large language models and other AI systems to generate suggestions, summaries, prompts and program content ("AI Output"). AI Output:

• May be inaccurate, incomplete or out of date.
• Is not professional advice (legal, financial, medical, tax or otherwise).
• Should be reviewed by a human before being acted on, especially for decisions with material consequences.

You are responsible for how you use AI Output in your business.

4. Acceptable use

You agree not to:

• Use the Service for anything illegal, harmful, deceptive, infringing or harassing.
• Upload personal information of others without a lawful basis to do so.
• Reverse engineer, scrape, or attempt to bypass security, rate limits or access controls.
• Use the Service to develop a competing product or to train a competing model.
• Resell, sublicense or white-label the Service without our written agreement.

5. Your content and inputs

You retain ownership of the content and information you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process and use Your Content for the limited purpose of providing and improving the Service to you, including generating AI Output and aggregated, de-identified analytics.

We do not use Your Content to train general-purpose models, and we configure third-party AI providers to opt out of training on your inputs where that setting is available.

6. Third-party services

The Service relies on third-party providers (including OpenAI, Anthropic, Google and hosting partners). Your use of those providers may also be subject to their own terms. We are not responsible for the availability, accuracy or behaviour of third-party services beyond reasonable steps as their customer.

7. Fees and subscriptions

Some plans are free; others are paid. Fees, billing cycles and inclusions (such as bundled ChatGPT Business seats for network and association partners) will be set out at the point of purchase or in a written order. Paid plans renew automatically unless cancelled before the renewal date. Fees are non-refundable except where required by law.

8. Network and association partnerships

If you access the Service through a coaching network, industry association or other group sponsor, additional terms agreed between us and the sponsor may apply (for example, around aggregated reporting). Those terms will not reduce your rights under privacy law or these Terms.

9. Intellectual property

The Service, including its design, software, content and trademarks, is owned by AdoptAI or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.

10. Suspension and termination

You can stop using the Service or close your account at any time. We may suspend or terminate your access if you breach these Terms, if continued provision would expose us to legal risk, or for non-payment. We will give reasonable notice where practicable.

11. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Competition and Consumer Act 2010 (Cth) that cannot lawfully be excluded.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free or that AI Output will be accurate or fit for a particular purpose.

13. Limitation of liability

To the maximum extent permitted by law, our total liability to you in connection with the Service is limited to the fees you paid us in the twelve months before the event giving rise to the claim, or AU$100 if you used the Service for free. We are not liable for indirect, consequential, special or exemplary damages, including lost profits, lost revenue, lost data or business interruption.

14. Indemnity

You agree to indemnify AdoptAI against claims, losses and costs arising from your breach of these Terms, your misuse of the Service, or your unlawful use of AI Output.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.
